Product License Terms

Scope of These Terms
These terms apply to downloadable software products and source code sold by BearPack Online Services.
If you have purchased a subscription service, managed hosting service, or custom development engagement, your terms are governed by:
- • Our Terms of Use (general site terms)
- • Our Service Terms (custom development projects)
- • Our Refunds & Cancellation Policy (subscriptions and billing)
- • Any written SOW, MSA, or invoice you accepted (controls over these terms if there is a conflict)
Overview
These terms govern your use of software products purchased from BearPack Online Services ("we," "us," "our"). By purchasing and downloading a product, you agree to these license terms.
License Tiers
We offer three license types. Your purchase includes one:
Standard Commercial License
Price: Included with standard product purchase
- • Use the software for your own business or organization
- • Install on unlimited servers/environments you own or control (SaaS, self-hosted, on-premises)
- • Modify source code for internal use and integration with your systems
- • Deploy as part of your own service to customers (multi-tenant deployment allowed)
- • Build commercial products on top of the software
- ✗ Cannot resell the unmodified software as a standalone product to other developers
- ✗ Cannot white-label the original software with minimal changes
Broad Commercial / Agency License
Price: +50% of product cost (contact for quote)
- • Everything in Standard, plus:
- • Use for client projects and delivery to multiple end-users
- • White-label the software with client branding
- • Sublicense to clients under their own terms
- • Sell as a white-label service or product to clients
- • Deploy for multiple clients on shared or dedicated infrastructure
- ✗ Cannot resell raw source code as-is to other developers
Enterprise License
Price: Custom (contact sales)
- • Fully custom terms negotiated with your organization
- • Unlimited commercial and distribution rights
- • Source code ownership transfer (if desired)
- • Ongoing support and maintenance (if desired)
- • Removal of attribution requirements (if desired)
- • Custom SLAs and warranties

✓ Standard Commercial (included with purchase):
- • Use for your own business or organization
- • Deploy as part of your SaaS (serving your customers)
- • Modify and integrate into your systems
- • Run on unlimited servers you own/control
→ Broad/Agency (+50% of product cost):
- • Agency delivering white-labeled versions to multiple clients
- • Reselling customized versions as standalone product
- • Building client projects where client needs sublicense rights
→ Enterprise (custom pricing):
- • Source code ownership transfer needed
- • Custom SLAs or warranties required
- • Removal of attribution requirements
- • Unlimited commercial and distribution rights
Restrictions
You may NOT:
- • Resell, redistribute, or sublicense the software as a standalone product
- • Offer the source code as a service or product to others
- • Remove or alter copyright notices or attribution
- • Use the software for illegal purposes or in violation of third-party terms
- • Claim ownership of the original software or its derivatives as your own original work
Number of Installations
Unless otherwise specified in your purchase, you may install the software on unlimited servers or environments that you own or control. Multi-tenant resale or offering the software as a white-label product requires a separate enterprise license agreement.
Support & Updates
Included with purchase:
- • 14-day defect warranty (scope-aligned bugs fixed free)
- • Complete documentation and setup guides
Not included (available separately):
- • Ongoing updates, patches, or new versions
- • Support beyond the 14-day warranty period
- • Custom modifications or enhancements
- • You are responsible for deployment, hosting, and maintenance
Third-Party Services
Some products may integrate with or depend on third-party services (e.g., YouTube, Spotify, Discord API). Your use of those services is subject to their respective terms. We do not guarantee continued availability or compatibility with third-party services.
Intellectual Property
We retain all ownership rights to the original software. You own any modifications you make, but the underlying software remains our intellectual property. This license does not transfer any ownership rights to you.
Warranty Disclaimer
THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.
Limitation of Liability
IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE.

Termination
This license is perpetual but may be terminated if you breach these terms. Upon termination, you must cease all use of the software and destroy all copies in your possession.
Governing Law and Disputes
These Product License Terms are governed by and construed in accordance with the laws of Ontario, Canada, without regard to conflict of laws principles.
Any disputes arising from or relating to these terms or your use of licensed products shall be resolved in the courts of Ontario, Canada.
If you are a consumer under applicable law, you may have additional rights that cannot be excluded by these terms.
